Courier Terms of Service
1. Nature of Relationship
1.1 Independent Contractor: You agree that you are a self-employed partner. You are responsible for your own tax, National Insurance, and equipment. Namcor LTD provides the technology (X-EATS) to connect your business with delivery opportunities.
1.2 No Exclusivity: You are free to provide services to other platforms or businesses at any time, even while using the X-EATS platform.
2. Earnings and Payment Structure
2.1 Payment Components: Your earnings for each mission are calculated based on a Base Rate, a Distance Rate, and an optional Dynamic Surge Rate.
2.2 Variable Pricing: Rates are subject to change at any time based on market demand. The specific rates for any given mission will be displayed in the app before you accept the job.
2.3 Minimum Yield Guarantee: For specific "High Priority" windows, the system may calculate a pro-rated Base Pay (Hourly Rate). In these instances, you will be paid whichever is greater between the calculated Mission Pay (Base + Distance + Surge) and the guaranteed window rate.
3. Delivery Responsibilities
3.1 Performance: You are fully responsible for the safe, professional, and on-time delivery of orders. You agree to transport items in appropriate thermal bags to maintain food safety standards.
3.2 Inaccuracies: You acknowledge that estimated times and distances provided by the app are estimates only. Unforeseen factors such as traffic, weather, or merchant delays do not alter the fixed mission pay once accepted.
4. GPS Integrity and Route Deviation
4.1 Dispatch Routing: To ensure customer ETAs are met, you agree to follow the primary route established by the X-EATS Dispatch AI.
4.2 15% Deviation Rule: We account for minor route changes. However, any deviation exceeding 15% of the original calculated distance will trigger an automatic "Hold for Review." No additional pay is granted for unauthorized route deviations.
5. Disputes, Refunds, and Fees
5.1 Direct Settlement: As an independent business, disputes regarding the delivery portion of an order are your responsibility. You must attempt to settle delivery-related grievances directly with the customer where possible.
5.2 Namcor Intervention: If a customer escalates a delivery dispute to Namcor LTD and we determine a refund is necessary to maintain platform integrity, we will issue the refund on your behalf.
5.3 Administrative Charge: If Namcor LTD settles a dispute on your behalf, an Administrative Fee of 10% of the Delivery Fee will be charged to your account in addition to the refund amount.
6. Documentation and Compliance
6.1 Accuracy: You warrant that all business documents, licenses, and insurance certificates provided are accurate and valid. Providing fraudulent documents is a criminal offense and will be reported.
6.2 Mandatory Notification: You must notify Namcor LTD within 7 days of any changes to your:
- Insurance Coverage or Policy Status
- Home or Business Address
- Vehicle Registration/Type
- Contact Details (Phone/Email)
