Merchant Terms of Service
1. NOVA AI & Dynamic Commissions
1.1 Acceptance: By signing up, you agree to the initial commission rate and acknowledge that these rates can change at any time without prior notice. There are no fixed minimums or maximums set for AI-driven commission rates.
1.2 Platform Status: You are an independent partner using the X-EATS technology platform. You are not an employee, agent, or partner of Namcor LTD.
2. Order Management
2.1 Finality: Once you accept an order via the Merchant Console, the transaction is considered final. Orders cannot be "undone" or cancelled through the interface once preparation has begun.
2.2 Auto-Accept Risks: If you enable the "Auto-Accept" feature in the Merchant Console, you acknowledge the risk that orders are instantly finalized. Namcor LTD is not responsible for orders accepted in error via automated settings.
2.3 Service Availability: We reserve the right to take the platform offline for maintenance, updates, or in response to service disruptions without liability for lost revenue.
3. Marketing & Dynamic Ads
3.1 Ad Placement: The marketing and ad systems are managed by NOVA AI. Ad rates are dynamic and subject to change instantly based on platform demand.
3.2 No Guarantees: Namcor LTD provides no guarantee of Return on Investment (ROI) or specific ad availability. The AI determines ad visibility based on proprietary algorithms; ads may not be shown to all users at all times.
3.3 Platform Promotions: Namcor LTD may issue platform-wide vouchers or promotions. Unless stated otherwise, these do not affect your set item prices or your final payout for goods sold.
4. Menus, Stock, and Allergens
4.1 Menu Accuracy: You are solely responsible for the accuracy of your digital menu, including pricing, descriptions, and images. X-EATS is not liable for errors in your uploaded content.
4.2 Automated Stock Tracking: Our system automatically calculates stock levels and prevents the purchase of "Out of Stock" items. If a specific ingredient is marked as unavailable, the AI will automatically hide all associated products across the app.
5. Disputes and Interventions
5.1 Dispute System: Discrepancies with customers should be handled through the official Dispute System in the Merchant Console.
5.2 Namcor Intervention Fee: If Namcor LTD is required to intervene or settle a dispute on your behalf, we will charge a 10% Administrative Fee based on the total order value.
5.3 Non-Refundable Fees: In the event of a refund, the Merchant is responsible for refunding the item cost plus tax. The original commission, service fees, and delivery fees remain non-refundable by the Merchant to the platform.
6. Fulfillment & Logistics
6.1 Self-Managed Delivery: If you choose to manage your own delivery, you assume all responsibility for the successful and timely arrival of the order. Namcor LTD assumes zero liability for your delivery staff.
6.2 X-EATS Managed: For "X-EATS Takeaway" orders, our responsibility is limited to the platform's operation. Once an order is handed to a courier, the independent courier assumes responsibility for the transit phase.
6.3 Hardware/Software: You agree to use the platform "as is." While we strive for perfection, Namcor LTD is not liable for hardware malfunctions or software errors that may impact transaction processing.
7. Billing, Taxes, and Compliance
7.1 Subscription Tiers: For paid tiers (e.g., Enterprise), monthly prices are subject to change. Namcor LTD will provide notice of any subscription price adjustments via your registered email.
7.2 Independent Operation: You are responsible for hiring your own employees, maintaining valid business documentation, and paying all relevant local and national taxes.
7.3 Platform Integrity: You agree not to interfere with, reverse engineer, or attempt to manipulate the X-EATS platform or its AI systems.
